1) Acceptance of These Terms

These Terms and Conditions ("Terms") govern your access to and use of Aura's public-facing websites, landing pages, blogs, help pages, waitlists, and other non-logged-in online content that we publish or host (collectively, the "Site").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not access or use the Site.

If you use Aura's app, logged-in features, or subscription services, those uses may also be governed by separate terms, including the Aura Terms of Use and Aura Privacy Policy.

We may update these Terms from time to time. If we do, we will post the revised version on the Site and update the Effective Date above. By continuing to use the Site after the updated Terms become effective, you agree to the revised Terms, to the extent permitted by law.

2) Scope of the Site

The Site is intended to provide general information about Aura, Sentiva AI, our products, features, content, promotions, offers, educational materials, and related topics.

These Terms apply only to the public-facing Site and similar non-logged-in website experiences. They do not solely govern your use of the Aura app, logged-in account features, subscriptions, or product functionality that requires an Aura account, which may be governed by separate terms.

Some Site content may reference or promote features that are in development, experimental, beta, pilot, or not yet generally available. We may change or discontinue any Site content, feature description, offer, or availability at any time without liability.

3) Privacy, Cookies, and Communications

Your use of the Site is subject to the Aura Privacy Policy, which explains how we collect, use, disclose, and protect information, including information collected through cookies, pixels, SDKs, forms, analytics tools, and similar technologies.

If you sign up through the Site for newsletters, waitlists, promotional offers, events, updates, surveys, or similar communications, we may send you service-related or, where permitted by law, promotional messages in accordance with the Privacy Policy.

You can unsubscribe from promotional emails at any time using the unsubscribe link in the email or by contacting us. Even if you opt out of marketing emails, we may still send service-related messages where appropriate, such as responses to support requests or important legal or security notices.

The Site and all content, materials, and features made available on or through it, including text, graphics, images, logos, icons, design elements, page layouts, audio, video, downloads, software, and trademarks (collectively, "Site Content"), are owned by Sentiva AI or its licensors and are protected by intellectual property, trademark, copyright, and other applicable laws.

Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, transmit, display, publish, sell, license, create derivative works from, or otherwise exploit any Site Content without our prior written permission.

All rights not expressly granted are reserved.

7) Limited License to Use the Site

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site for your personal, lawful, non-commercial use.

This license does not include any right to:

• resell or commercially exploit the Site or Site Content;

• use robots, spiders, crawlers, scrapers, or automated tools to access or extract data from the Site;
• copy or mirror any material on the Site;
• interfere with the Site's operation or security.

We may suspend, limit, or revoke this license at any time, with or without notice, for any reason.

8) Acceptable Use

You agree not to:

• use the Site in violation of any law, regulation, or third-party right;
• use the Site for fraudulent, unlawful, abusive, defamatory, threatening, harassing, hateful, obscene, or misleading purposes;

By submitting information through the Site, you represent and warrant that:

If you voluntarily send us suggestions, ideas, comments, testimonials, proposals, or other feedback regarding Aura, the Site, or our services ("Feedback"), you grant Sentiva AI a worldwide, non-exclusive, perpetual, irrevocable, sublicensable, royalty-free license to use, reproduce, adapt, modify, distribute, publish, display, and otherwise exploit that Feedback for any lawful purpose without notice, compensation, or obligation to you.

Please do not submit confidential or proprietary ideas if you do not want us to use them without restriction.

For clarity, this section applies to voluntary feedback and ideas, not to personal information submitted through ordinary account, support, or customer service interactions, which is governed by the Privacy Policy.

11) Promotions, Offers, and Promotional Codes

From time to time, we may offer promotions, discounts, referral campaigns, waitlist benefits, sweepstakes, contests, early-access invitations, or promotional codes through the Site.

Any such offer may be subject to additional terms, eligibility criteria, expiration dates, geographic restrictions, redemption requirements, or limitations. If there is a conflict between these Terms and specific promotional terms, the promotional terms will control for that offer.

We may modify, suspend, or cancel any promotion or offer at any time, subject to applicable law.

12) Purchases and Subscriptions Through the Site

If we offer purchases, subscriptions, memberships, or paid features directly through the Site, the applicable price, billing terms, renewal terms, cancellation terms, and any refund rules will be presented at checkout or otherwise before purchase and will form part of these Terms.

Unless otherwise stated:

• subscriptions may renew automatically until canceled;
• taxes may be added where applicable;
• payments may be processed by third-party payment processors;
• third-party processor terms and privacy policies may also apply.

If you purchase Aura through an app store instead of directly on the Site, that purchase may be governed by the applicable app store's billing and subscription rules.

13) Third-Party Links and Services

The Site may contain links to third-party websites, applications, platforms, content, or services that we do not own or control.

We provide these links for convenience only. We do not endorse, control, or assume responsibility for any third-party content, products, services, privacy practices, or terms. Your use of third-party sites or services is at your own risk and subject to their terms and privacy policies.

14) AI-Related Content and Forward-Looking Statements

The Site may describe or display features powered by Ash, Aura's AI guide, or other artificial intelligence systems.

Any descriptions of AI features, outputs, examples, testimonials, use cases, or product capabilities on the Site are for general informational or illustrative purposes. Actual product behavior, feature availability, and outputs may vary.

AI-generated information may contain inaccuracies, omissions, or limitations. You should not rely on AI-related content on the Site as a substitute for professional advice, diagnosis, treatment, or emergency services.

The Site may also include statements about planned, upcoming, or future features. Those statements are informational only and do not create a commitment or obligation to deliver any particular feature or functionality.

15) Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

SENTIVA AI DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, OR QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

• THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• DEFECTS WILL BE CORRECTED;
• THE SITE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR
• CONTENT ON THE SITE WILL BE COMPLETE, CURRENT, OR ACCURATE.

Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

16) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SENTIVA AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SITE CONTENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED USD $100.

Some jurisdictions do not allow certain limitations of liability, so some parts of this section may not apply to you.

17) Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Sentiva AI and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, actions, proceedings, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• your use of the Site;
• information or materials you submit through the Site;
• your violation of these Terms; or
• your violation of applicable law or any third-party rights.

18) Governing Law; Arbitration; Class Action Waiver

Please read this section carefully because it affects your legal rights.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by JAMS under its applicable rules and procedures then in effect, except as otherwise provided below.

The arbitration will take place in New York, New York, in English, before a single arbitrator. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

You and Sentiva AI agree to resolve disputes only on an individual basis and not as part of any class, collective, consolidated, representative, or private attorney general proceeding.

Nothing in this section prevents either party from seeking temporary, preliminary, or injunctive relief in a court of competent jurisdiction to protect its rights pending arbitration.

You may opt out of arbitration by sending written notice to support@talkwithaura.com within 30 days after you first accept these Terms. Your notice must include your full name, contact email, and a clear statement that you wish to opt out of arbitration. If you validly opt out, the exclusive venue for disputes will be the state and federal courts located in New York County, New York, and you consent to personal jurisdiction there.

If any part of this arbitration section is found unenforceable, that part will be severed and the remainder will be enforced to the fullest extent permitted by law.

19) Suspension, Termination, and Changes to the Site

We may change, suspend, restrict, or discontinue any part of the Site at any time, with or without notice.

We may also suspend or terminate your access to the Site at any time if we believe you have violated these Terms, created risk to us or others, or if suspension is necessary for legal, security, or operational reasons.

Sections of these Terms that by their nature should survive termination will survive, including sections relating to intellectual property, feedback, disclaimers, limitations of liability, indemnification, arbitration, and governing law.

20) International Access and Export Compliance

The Site may be hosted in and operated from the United States and other countries. If you access the Site from outside the United States, you are responsible for compliance with local laws.

You may not use, export, re-export, or transfer Site Content or related materials in violation of applicable export control, sanctions, or trade laws.

21) Miscellaneous

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision is not a waiver of our right to do so later.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.

These Terms, together with the Privacy Policy and any additional terms presented for a specific Site feature, purchase, or promotion, form the entire agreement between you and Sentiva AI regarding the Site.
